RetroSupply Co. User License Agreement

This agreement governs the use of RetroSupply Co. software tools, digital assets, and fonts, including but not limited to digital brushes, textures, graphic styles, templates, vector files, color palettes, and font files (collectively referred to as "Assets"). By purchasing or downloading the Assets, you agree to the following terms.

1. License Scope

The Assets may be used for both personal and commercial purposes, covering a wide range of applications such as print, digital publishing, and video content. The number of users allowed per license is determined at the time of purchase, with each user permitted to install the Assets on up to two devices, such as a desktop and a laptop. If a business or organization exceeds $200 million in annual revenue or intends to use the Assets for large-scale international campaigns, they must purchase an extended license. RetroSupply Co. offers extended licensing options upon request.

2. Permitted Uses

The Assets may be used in print and digital publishing, including comics, book covers, magazines, and editorial illustrations. You may create physical end products for sale, such as apparel, homewares, posters, and more, up to a limit of 250,000 units. Additionally, the Assets may be used in video advertising, broadcast, and streaming content, with a total lifetime view limit of 1,000,000 views. For web, mobile, and video game applications, the Assets can be used in a static, rasterized (bitmap) form. There is no limit to how much the Assets can be used in social media content, whether for personal or commercial purposes. Fonts specifically may be used in logos, branding, promotional materials, and web design. Fonts may also be embedded in websites using @font-face, provided that the total number of page views across all licensed websites does not exceed 50,000 monthly, unless otherwise specified.

3. Font-Specific Use and Restrictions

RetroSupply Co. provides fonts that can be used for both personal and commercial purposes, but certain restrictions apply. Fonts may not be embedded in apps, software, or electronic devices such as mobile apps and games without an extended license. Document embedding is allowed, but only in non-editable documents such as PDFs or e-books that are distributed as read-only and do not exceed 250,000 copies. While fonts can be used in logos, they cannot be trademarked as part of the logo design. Additionally, desktop font files (.otf, .ttf) may not be uploaded or linked to websites, and fonts may not be resold or embedded in templates for resale.

4. Prohibited Uses

The Assets may not be sub-licensed, resold, or shared with third parties, either for free or for payment. They may not be embedded in apps or services such as "create-on-demand" platforms without explicit permission from RetroSupply Co. Additionally, the Assets, including fonts, may not be used in any machine learning models, AI training datasets, or automated content generation tools, including any current or future technologies not expressly covered by this agreement. Unauthorized distribution of the Assets, such as making them available for download or allowing others to extract the files, is strictly prohibited. The Assets may not be reverse-engineered or modified to create similar products for free or for sale. Embedding the Assets in editable templates, such as website templates or design templates for distribution or resale, is not allowed. Any use of the Assets that is not expressly permitted in this agreement is prohibited.

5. Usage Limits

Physical end products created using the Assets are limited to 250,000 units, which includes apparel, homewares, product packaging, and other printed materials. Video content using the Assets is limited to 1,000,000 lifetime views, whether the content is for broadcast, film, or streaming. If the fonts are embedded on websites using @font-face, the combined page views across all licensed websites may not exceed 50,000 per month.

6. Refunds and Liability

RetroSupply Co. offers a 30-day money-back guarantee for individual products, allowing customers up to three refunds. However, bundles and certain third-party products are non-refundable due to the nature of their content. RetroSupply Co. reserves the right to review refund requests on a case-by-case basis. The company is not liable for any incidental or consequential damages related to the use of the Assets. Liability is limited to either a replacement of the product or a refund, at RetroSupply Co.'s discretion.

7. Monitoring and Auditing

RetroSupply Co. reserves the right to monitor and audit the licensee's use of the Assets to ensure compliance with the terms of this agreement. If it is discovered that the usage exceeds the permitted limits—such as page views or product quantities—RetroSupply Co. may require the licensee to purchase an extended license or take other remedial actions. RetroSupply Co. may also request logs, receipts, or other documentation to verify compliance with the license terms.

8. Additional Provisions

Licensees may keep a single backup copy of the Assets on cloud storage or local devices, provided they are the sole user. Licensees may also provide the Assets to third-party service providers, such as designers or printers, for temporary use, provided that these service providers agree to use the Assets exclusively for the licensee's project. Upon project completion, service providers must delete the Assets and provide written confirmation of the deletion if requested by RetroSupply Co.

9. Termination for Breach

Any violation of this agreement will result in the immediate termination of the license. Upon termination, the licensee must cease using the Assets and delete all copies in their possession. RetroSupply Co. reserves the right to seek legal remedies for any damages resulting from the breach of this agreement.

10. Governing Law and Dispute Resolution

This agreement is governed by the laws of the United States, specifically in Clark County, Washington. Any disputes arising from or related to this agreement will be resolved through binding arbitration in Clark County, Washington. Both parties agree to waive their right to a jury trial.

11. Future Technologies and Limitations

The Assets may not be used in any future technologies that are not yet in existence or explicitly covered by this agreement. RetroSupply Co. reserves the right to update or modify this agreement to address new technologies as they arise.
